These Terms of Use govern the purchase, delivery, access, and use of business-prospect data products offered through leadfiledirect.com and sold by Queue North Technologies LLC (“Queue North,” “we,” “us,” or “our”).

For purposes of these Terms, “LeadFileDirect” refers only to the branded product line and website through which Queue North markets these products. LeadFileDirect is not a separate legal entity. All purchases are made from Queue North Technologies LLC, and all contractual obligations under these Terms are between the buyer and Queue North Technologies LLC.

By placing an order, accessing a delivered file, downloading a file, or using any purchased data, you agree to these Terms of Use.

1. Business-Use Eligibility

LeadFileDirect-branded products are offered solely for legitimate business-to-business prospecting, sales research, and market-research purposes.

You represent that:

You are at least 18 years old.
You have authority to make the purchase on behalf of yourself or your organization.
You will use the products only for lawful business purposes.
The information you provide during checkout is complete and accurate.

2. Product Description

Queue North sells downloadable or electronically delivered XLSX files containing business-prospect information compiled from public business records, official business websites, public contact pages, and other lawful public business sources.

The information may include:

Business name
Industry or business category
Business telephone number
Business website address
Business street address, including city, state, ZIP code, and county
Public business contact information, such as name, title, and email address
Other publicly available business information

LeadFileDirect-branded products are business-prospect files. They are not appointments, sales opportunities, exclusive leads, consumer reports, or guarantees of business interest.

3. Records Are Not Opt-In Leads

Businesses and individuals appearing in a purchased file have not necessarily requested contact or consented to receive marketing communications.

A purchase does not provide or transfer consent for:

Telephone calls
Text messages
Automated dialing
Prerecorded or artificial-voice messages
Voicemail drops
Commercial email
Fax transmissions
Any other solicitation

You are solely responsible for determining whether and how you may lawfully contact each prospect.

Federal, state, and local laws may impose requirements on commercial email, telemarketing calls, text messages, automated communications, privacy, and the use of consumer information.

4. Buyer Compliance Responsibilities

You are solely responsible for complying with all federal, state, and local laws applicable to your outreach and use of the purchased data, including laws and rules relating to:

Commercial email
Telemarketing
Do-not-call requirements
Automated calls and texts
Privacy and data protection
Industry-specific solicitation
Record retention
Opt-out, unsubscribe, and suppression lists

Queue North does not provide legal advice and does not determine whether a particular communication, campaign, or use of the data is lawful.

5. Prohibited Uses

You may not use LeadFileDirect-branded products:

For consumer credit, lending, or creditworthiness decisions
For employment, promotion, reassignment, or retention decisions
For insurance eligibility or underwriting
For housing or tenant-screening decisions
For background checks
For consumer-reporting purposes
To determine eligibility for government benefits or other regulated decisions
For unlawful discrimination, harassment, fraud, impersonation, or deception
To violate a do-not-call, opt-out, suppression, or unsubscribe request
To create or distribute unlawful spam
For any illegal purpose

Queue North Technologies LLC is not a consumer-reporting agency, and LeadFileDirect-branded products are not intended to constitute consumer reports under the Fair Credit Reporting Act.

6. Limited Data License

After full payment, Queue North grants the purchasing organization a limited, non-exclusive, non-transferable license to use the delivered file for its own lawful internal business prospecting and market research.

You may share the file with employees and contractors working for your organization only when they:

Need the information for an authorized internal business purpose
Are subject to appropriate confidentiality and data-security obligations
Comply with these Terms

The purchase transfers only a limited right to use the delivered data. It does not transfer ownership of the file format, compilation, branding, product design, or other intellectual property belonging to Queue North.

7. Resale and Redistribution Prohibited

You may not:

Resell the file or any substantial portion of it
Redistribute or publicly publish the file
Upload the data to a public directory
Sublicense the data
Share the file with another company or unrelated organization
Sell access to the data
Use the data to create a competing lead-list or data-resale product
Circumvent record limits by combining purchases among unrelated organizations

Written permission from Queue North is required for any use outside the purchasing organization.

8. Product Delivery

Files are delivered electronically to the email address supplied during checkout or through another delivery method communicated by Queue North.

Delivery is considered completed when:

The file is emailed to the address supplied by the buyer;
A working download link is sent to the supplied address; or
The file is otherwise made available to the buyer.

The buyer is responsible for providing a valid email address and checking spam, junk, quarantine, and security-filter folders.

9. Annual Access

The Annual Access product includes:

One XLSX workbook delivered monthly for 12 months. Each file will contain 100 different verified business prospects compiled from public business information. Records are not opt-in leads. The first file will be delivered after payment is received.

Annual Access is a one-time prepaid purchase. It is not a monthly subscription and does not automatically renew unless a future written offer expressly states otherwise.

The buyer must maintain a valid delivery email address throughout the 12-month delivery period.

10. Verification and Data Accuracy

Queue North uses reasonable efforts to verify business information before including it in a saleable LeadFileDirect-branded file.

However:

Public information can change after verification.
Businesses may close, relocate, change telephone numbers, replace personnel, or change websites.
Public sources may contain errors or outdated information.
Email addresses may become invalid.
Queue North does not guarantee that a prospect will answer, respond, make a purchase, or remain in business.

Data is provided based on the verification date or dataset edition associated with the delivered file.

11. No Guaranteed Results

Queue North does not guarantee:

Responses
Appointments
Sales
Revenue
Conversion rates
Contactability
Email deliverability
Telephone pickup rates
Exclusivity
Consent to contact
Continued accuracy after delivery

Your results depend on factors outside Queue North’s control, including your offer, outreach method, compliance procedures, target market, timing, reputation, and sales execution.

12. Refund Policy

Because LeadFileDirect-branded products are digital data products, all sales are final after delivery.

Refunds are not available after a file has been delivered or made available for download.

Before delivery, Queue North may approve a cancellation or refund at its sole discretion.

If Queue North cannot fulfill an order, it may:

Replace the order with a substantially equivalent product;
Provide a reasonable fulfillment extension; or
Refund the unfulfilled portion of the purchase.

Duplicate records within the same delivered file, materially incomplete delivery, or delivery of fewer records than purchased must be reported within 7 calendar days at:

Queue North may correct the file or provide replacement records instead of issuing a refund.

13. Suspension or Termination

Queue North may suspend delivery, cancel remaining access, or terminate a buyer’s data license if Queue North reasonably believes the buyer has:

Violated these Terms
Redistributed the data
Used the data unlawfully
Misrepresented its identity or intended use
Created legal, reputational, security, or operational risk
Initiated a fraudulent payment dispute or abusive chargeback
Attempted to circumvent product or record limits

Termination resulting from buyer misconduct does not create a right to a refund.

14. Disclaimer of Warranties

LeadFileDirect-branded products are provided “as is” and “as available.”

To the maximum extent permitted by law, Queue North disclaims all express and implied warranties, including warranties of:

Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy
Completeness
Availability
Contactability
Business results

Some jurisdictions do not permit certain warranty exclusions, so portions of this section may not apply to every buyer.

15. Limitation of Liability

To the maximum extent permitted by law, Queue North Technologies LLC and its owners, employees, contractors, agents, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including:

Lost profits
Lost business opportunities
Lost data
Reputational harm
Regulatory penalties
Claims resulting from the buyer’s outreach
Claims resulting from unlawful or unauthorized use of the data

Queue North’s total liability relating to an order will not exceed the amount the buyer paid to Queue North for the specific product giving rise to the claim.

16. Indemnification

You agree to defend, indemnify, and hold harmless Queue North Technologies LLC and its owners, employees, contractors, agents, and representatives from claims, damages, penalties, judgments, costs, and reasonable legal fees arising from:

Your use of the data
Your communications with prospects
Your violation of these Terms
Your violation of applicable law
Your resale or unauthorized disclosure of the data
Your infringement of another party’s rights
Actions taken by your employees, contractors, or representatives using the data

17. Intellectual Property

The LeadFileDirect name and branding, leadfiledirect.com website content, file layouts, product descriptions, compilation methods, and other original materials are owned by Queue North Technologies LLC or its licensors.

No trademark, copyright, compilation right, or other intellectual-property right is transferred by a purchase.

18. Changes to Products or Terms

Queue North may update these Terms, products, pricing, file structures, or delivery procedures.

Changes will apply prospectively from the posted effective date.

Material changes affecting an existing prepaid Annual Access order will not reduce the number of records or monthly deliveries already purchased unless:

Required by law;
Necessary because fulfillment has become legally or technically impossible; or
Agreed to by the buyer.

19. Governing Law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles.

Any legal action relating to these Terms must be brought in a court with jurisdiction in the Florida county where Queue North Technologies LLC maintains its principal place of business, unless applicable law requires otherwise.

20. Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

The invalid or unenforceable provision will be modified only to the minimum extent necessary to make it valid and enforceable.

21. Entire Agreement

These Terms, the applicable checkout-page description, and any written order-specific terms accepted by Queue North constitute the entire agreement concerning the purchased product.

Any additional or conflicting terms proposed by the buyer are rejected unless expressly accepted in writing by Queue North Technologies LLC.
